Terms of Use

1. Purpose

These terms govern the rights, obligations and responsibilities between COGO TOOL (the 'Company') and dealers (members) regarding use of the Company's B2B online store (the 'Store').

2. Registration & approval

The Store operates on a per-business approval basis. Applicants submit contact and business information; member pricing, live stock and ordering become available after the Company's review and approval. The Company may reject or hold approval if criteria are not met.

3. Prices & member pricing

Only list prices are shown before login; approved dealers see member prices with their applicable discount. All prices are calculated server-side and exclude VAT. The final price may be confirmed via quotation/contract.

4. Orders & formation of contract

A member's order is an offer; the contract is formed upon the Company's receipt and confirmation (including stock/terms). The Company may cancel or adjust an order for unavoidable reasons such as stock/price errors or customs/export restrictions.

5. Payment & terms

Payment/settlement follows the method agreed with the Company (bank transfer, prepayment; T/T for exports, etc.). Additional methods such as card payment may be offered in the future.

6. Delivery & export

Domestic/overseas delivery follows the order/contract terms and agreed Incoterms. Export documents (Commercial Invoice, Packing List, etc.) are provided via the Store.

7. IP & member obligations

Rights to the Store's content, trademarks and data belong to the Company. Members must keep account credentials secure and must not access others' data/transactions without authorization or misuse the Store.

8. Changes to the terms

The Company may amend these terms within the limits of applicable law. Amendments are announced via the Store's notices, stating the effective date and reason, at least 7 days in advance (30 days for changes unfavorable to members). If a member does not expressly object, consent is deemed given.

9. Termination, withdrawal & suspension

A member may request withdrawal (termination) at any time. The Company may restrict, suspend or terminate use if a member breaches these terms or engages in misuse. The Company may temporarily suspend all or part of the service for maintenance/replacement, with prior notice as a rule.

10. Withdrawal, returns & exchange

This store is for business-to-business (B2B) transactions; returns/exchange/withdrawal follow the terms of the individual contract or agreement first. However, for defective, mis-shipped or non-conforming goods, the Company will provide exchange, return or refund as appropriate. Where returns are restricted by nature (e.g., made-to-order or customs-cleared imports), the reason is notified in advance.

11. Protection of personal data

The Company protects members' personal data under applicable law; details of collection, use, storage and destruction follow the separate Privacy Policy (/privacy).

12. Disclaimer & disputes

The Company is not liable for damages caused by uncontrollable events such as force majeure or the member's fault. These terms are governed by the laws of the Republic of Korea, and disputes are brought before the competent court under the Civil Procedure Act.
